Program Overview
In this final part of our 3-part series, we will be discussing Understanding Contract Requirements and Insurance Implications from a Small Firm Perspective.
As the saying goes, “the devil is in the details” and nowhere is this more true than in the types of agreements that design professionals are often asked to sign.
From indemnity agreements, to termination clauses, to limitations of liability, contracts are rife with provisions that can help, or hurt, firms… and these may not be apparent until well after the contract signing.
This seminar aims to provide firm principals and professionals with an overview of common contract provisions, their ideal form, and how the design professional can navigate that less-than-ideal version of these provisions to best safeguard the firm.

Learning Objectives
Common Provisions – We will discuss the contract clauses that design firms commonly encounter while considering: What is the importance of this provision? What are the insurance and risk management implications of this clause? What does this provision typically look like?
Sources of Provisions – Which entities produce contract language, and where can I find ideal language that will help protect my firm?
Negotiation Talking Points – We will look at a few examples of the “not-so-ideal version” of common contract provisions, and explain why clients often ask for these. We will also discuss how you can work through contract provisions presented to you by your client. Finally, we will provide a number of talking-points to help you negotiate toward ideal versions of contract clauses.
